Terms of Service

Keendex is an AI-powered tender intelligence and bid automation platform. The Services include:

• Tender Discovery and Alerts: automated tender fetching and daily personalised alerts via TenderTiger integration.
• AI Document Extraction: extraction of key parameters, BOQ data, pre-qualification criteria, annexures, and document checklists from uploaded tender documents.
• Ask Keendex: a conversational AI interface allowing users to query tender documents and receive page-referenced answers.
• Pre-Bid Query Generator: AI-powered generation of clarification questions from selected tender clauses, with automatic metadata tagging and direct email dispatch to tendering authorities.
• Go/No-Go Decision Engine: AI-assisted bid participation analysis based on eligibility, commercial viability, and risk parameters.
• Annexure Auto-Fill: automatic population of tender annexures and forms using stored company metadata.
• Response Compiler: merging, reordering, and exporting complete bid response packs with digital signing support. All compiled outputs are protected with AES-256 encryption.
• Company Briefcase and Metadata Repository: centralised storage of company documents, certificates, and credentials for reuse across tenders.

To use Keendex you must register an account and provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to use Keendex only for lawful purposes. You must not:

• Upload documents you do not have the right to share or process.
• Use the platform to submit fraudulent, misleading, or fabricated information in tender responses.
• Attempt to reverse engineer, decompile, or extract the source code, algorithms, or AI models underlying the platform.
• Attempt to gain unauthorised access to other users' accounts, data, or any backend systems.
• Upload malicious code, viruses, or any harmful content.
• Interfere with or disrupt the platform's infrastructure, servers, or networks.
• Resell, sublicense, or otherwise make the platform available to third parties without our written consent.
• Use automated scripts or bots to scrape, mine, or extract data from the platform.

You retain full ownership of all tender documents, company data, and other content you upload to Keendex (“Your Content”). By uploading Your Content, you grant Keendex a limited, non-exclusive licence to process, store, and analyse Your Content solely for the purpose of providing the Services to you.

• You have all necessary rights and permissions to upload and process Your Content on the platform.
• Your Content does not violate any applicable laws or third-party rights.
• You are responsible for the accuracy, completeness, and legality of all information in Your Content.

• Keendex includes page references (Pg. No.) in all extracted outputs to enable you to verify the source of every data point.
• You must independently review all AI-generated outputs before submitting any bid, tender response, or communication to a tendering authority.
• Keendex is not responsible for any errors, omissions, or inaccuracies in AI-generated outputs, or for any consequences arising from reliance on such outputs without independent verification.

All rights, title, and interest in and to the Keendex platform — including its software, source code, databases, AI models, algorithms, extraction workflows, prompts, methodologies, user interface, designs, documentation, trademarks, and logos — are and shall remain the exclusive property of Keendex and its licensors. Your Content remains your property. Keendex claims no intellectual property rights over documents, data, or outputs that belong to you.

• All fees are non-refundable except as expressly stated in your plan or as required by law.
• Token consumption is tracked and visible in your history module.
• Keendex reserves the right to modify pricing with reasonable notice.
• Non-payment may result in suspension or termination of your account.

The Services are provided on an “as is” or “as available” basis. To the fullest extent permitted by law, Keendex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. AI-generated analyses, recommendations, summaries, and other outputs are provided solely as decision-support tools. Final procurement, bidding, commercial, legal, and business decisions shall remain the sole responsibility of the user.

To the maximum extent permitted by applicable law, Keendex total aggregate liability for any claim shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to such claim. Keendex shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunity, reputation or anticipated benefits.
• Errors or omissions in AI-generated summaries, extracted parameters, BOQ data, annexure auto-fills, pre-bid queries, or Go/No-Go recommendations.
• Any tender disqualification, rejection, or loss resulting from reliance on AI-generated outputs without independent professional verification.
• Service interruptions, downtime, or data loss caused by third-party infrastructure providers.
• Loss of access to any encrypted bid data resulting from a user losing or forgetting their AES-256 encryption password. Keendex has no ability to recover, reset, or bypass user-set encryption passwords.

Either party may terminate these Services at any time. You may close your account through the platform settings. Keendex may suspend or terminate your account for breach of these Terms, non-payment, or misuse of the platform. Upon termination, your access to the Services will cease. Data deletion will occur in accordance with our Privacy Policy and applicable retention requirements.

These Terms and Services shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
